SS&C ALPS is a leading Registered Fund Services provider in the financial services industry. Founded in 1985, Denver-based SS&C ALPS, with offices in Boston, Dallas, Miami, New York, San Francisco, Seattle, and Toronto also delivers asset management and asset servicing solutions through ALPS Advisors, Inc., a wholly-owned subsidiary of SS&C Technologies, Inc.
As a paralegal, you will draft registration statements, board materials, and service agreements. Acting as a subject matter expert you will work with key managers in SS&C ALPS registered fund services and alternatives businesses, clients, and other members of the Company’s legal department.
Prepare registration statements and other regulatory filings required under the Investment Company Act, Investment Advisors Act, Securities Act of 1933 and Securities and Exchange Act of 1934, including coordinating all aspects of the annual registration statement filing
Prepare materials for fund board and shareholder meetings, including agendas and resolutions
Manages regulatory calendars and filing processes
Assist with drafting, review and negotiating various service contracts
Maintains contractual agreements and corporate governance documents
Maintain corporate entity records
Other duties as assigned from time to time.
Bachelor's degree or equivalent work experience.
2-4 years’ experience preparing materials for boards and shareholder meetings, including agendas and resolutions
Excellent verbal and written communication skills (e.g. presentation, listening; and report writing).
Analytical problem solving and quantitative skills sufficient to handle a complex regulatory environment.
Interpersonal skills necessary: persuasion; negotiation; cooperation; diplomacy; strong planning; organizational and coordinating skills, and strong internal consulting skills.
Strong computer literacy, including Microsoft Office (including Word, Excel, PowerPoint and Outlook) and Adobe Acrobat.
Ideal candidate will have experience in a law firm, corporate, or other legal administration environment.
Paralegal certification a plus.
Experience in the mutual fund industry a plus.
Experience with EDGAR a plus.
