Job Description:

The Senior Counsel will work in the Legal Services Department and the Contracts Administration Department of SS&C Health reporting to the General Counsel for SS&C Health. The Senior Counsel’s primary responsibilities will be the following:

  • Negotiates contractual provisions to reflect business requirements that meet company needs and maximize revenue, flexibility and potential, while minimizing exposure and liability

  • Negotiates, structures, drafts, and manages contractual documents that establish the terms and conditions of the business relationships and pricing with vendors, customers and/or partners

  • Leads the contract negotiation process and coordinates the process across several departments and areas within the organization

  • Documents issues arising in the course of contract negotiations and recommends a viable resolution to internal management

  • Acts as a subject matter expert with a strong understanding of the business, legal, financial, and technical requirements of the transaction

  • Manages executed agreements to control costs/increase revenue, ensure compliance, maintain service levels and aggregate expenditures enterprise-wide

  • Provides accurate, detailed, and timely information with regards to business, legal, financial, and technical requirements to assist management in making informed business decisions

  • Consults and advises senior management

  • Works on the most complex contracts and issues which typically involve using customer’s paper (contract), unique issues and requests, special circumstances, and multiple business units

  • Determines and produces appropriate documents (e.g., non-disclosure agreements, trial agreements, letters of intent, agreements, schedules, BAAs etc.) as required

  • Negotiates contracts, drafts terms and conditions using original text/language, and redlines contracts

  • Assists with contractual and legal requirements in Requests for Proposal, Requests for Information, etc.

  • Responsible for developing and maintaining client/vendor relationships, interacting with all levels of management, and may participate in vendor management

  • Responsible for researching state and federal regulations, and summarizing the relevant aspects of these regulations for internal management information

  • Responsible for creating standard, template agreements for new services and software products

  • Works independently; receives minimal guidance

  • Handles multiple projects simultaneously and accurately

  • Takes initiative and anticipates department needs

  • Works quickly to meet short deadlines

  • Solves complex problems; takes a new perspective using existing solutions

  • Leads projects with moderate scope, risks, and resource requirements

  • Acts as a resource for colleagues with less experience

  • Develops and manages operational initiatives to deliver tactical results

Minimum Qualifications:

  • Juris Doctor degree from an accredited school of law

  • Licensed to practice law in at least 1 state

  • At least 5 years of work-related experience in a law firm or in-house, sole focus healthcare and healthcare regulatory matters. Hands on experience applying healthcare knowledge in a business environment

Preferred Qualifications:

  • 5+ years of work-related experience

  • Experience drafting and negotiating agreements related to healthcare, software licensing, and business process outsourcing

  • Extensive experience with state regulatory filings (PBM, TPA, DDC ), HIPAA and drafting and negotiating Business Associate Agreements

  • Extensive experience in healthcare related informational technology contract drafting and related legal matters
